Sophra Terms of Use (End User License Agreement)

This Terms of Use ("Agreement") is a legal agreement between you (and the
practice or entity you represent, "you") and Crossguard, Inc. ("we", "us")
governing your use of the Sophra application ("Sophra").
By downloading, subscribing to, or using Sophra, you agree to this Agreement. If
you do not agree, do not use Sophra.
1. Professional use only
Sophra is a tool intended solely for licensed eyecare professionals and their
trained staff. It is not intended for, or directed to, consumers or patients for
self-measurement. You represent that you are authorized to take optical
measurements in your jurisdiction.
2. Measurement aid — not a substitute for professional judgement
Sophra is a measurement aid. Measurements produced by Sophra are estimates
generated from sensor and image data and may contain error. You are solely
responsible for reviewing, verifying, and confirming every measurement before
relying on it to dispense eyewear or for any clinical purpose. Sophra does not
diagnose, treat, or provide medical advice, and does not replace your
professional judgement, an in-person evaluation, or established measurement
methods. You are responsible for the lenses and eyewear you order.
3. License
Subject to this Agreement and your active subscription, we grant you a limited,
non-exclusive, non-transferable, revocable license to use Sophra on Apple-branded
devices you own or control, for your internal professional use. You may not copy,
modify, reverse-engineer, resell, sublicense, or distribute Sophra except as
allowed by the App Store Terms and applicable law.
4. Subscriptions, billing, and cancellation
Sophra is offered as an auto-renewing subscription, sold per device through the
Apple App Store. Current plans and prices are shown in the app at the point of
purchase.
- Payment is charged to your Apple Account at confirmation of purchase.
- A subscription automatically renews for the same period unless auto-renew is
turned off at least 24 hours before the end of the current period.
- Your Apple Account is charged for renewal within 24 hours before the period
ends.
- A free trial, where offered, converts to a paid subscription unless cancelled
at least 24 hours before the trial ends. Any unused portion of a free trial is
forfeited when you purchase a subscription.
- You manage and cancel subscriptions in your Apple Account settings. Refunds are
handled by Apple under Apple's policies; we do not process payments or issue
refunds directly.
5. Patient data and HIPAA
Sophra stores all patient data locally on your device and does not transmit it to
us or any third party. We do not access, receive, or process your patients'
protected health information ("PHI").
- You (your practice) are the covered entity (or its business associate) and are
solely responsible for safeguarding PHI on the device, including device
security, access controls, and the channels used for any export you initiate.
- Because we have no access to PHI through Sophra, we do not act as your business
associate with respect to data held in the app.
- Exported files contain PHI and become your responsibility once they leave the
app.
6. Disclaimers and limitation of liability
Sophra is provided "as is" and "as available," without warranties of any kind,
express or implied, including merchantability, fitness for a particular purpose,
accuracy, and non-infringement, to the maximum extent permitted by law. We do not
warrant that measurements will be error-free or that the app will be
uninterrupted.
To the maximum extent permitted by law, we are not liable for any indirect,
incidental, special, consequential, or punitive damages, or for lost profits,
remakes, or costs of substitute products, arising from your use of Sophra. Our
total liability for any claim is limited to the amount you paid for the
subscription in the 12 months before the claim.
7. Updates and changes
We may update Sophra and may change this Agreement. Continued use after a change
takes effect constitutes acceptance. Material changes will be posted at this
address with a new effective date.
8. Termination
This Agreement remains in effect while you use Sophra. We may suspend or
terminate the license if you breach it. You may stop using Sophra at any time;
deleting the app removes Sophra's data from the device.
9. Governing law
This Agreement is governed by the laws of the Commonwealth of Pennsylvania,
without regard to conflict of laws rules.
10. Apple
This Agreement is between you and us, not Apple. Apple is not responsible for
Sophra or its content. Apple and its subsidiaries are third-party beneficiaries
of this Agreement and may enforce it against you. The standard Apple Licensed
Application End User License Agreement terms also apply where required.
